HOURLY FEE AGREEMENT
THIS AGREEMENT, entered into this ___ day of April 2026, by and between THOMAS,
THOMAS & HAFER, LLP, Attorneys at Law, (hereinafter "Attorney"), and Franklin County,
Juniata County, and Perry County (hereinafter “Clients”).
WITNESSETH: That Attorney, for the consideration hereinafter stipulated, has undertaken and
does hereby undertake and agrees with Clients to act as legal counsel to assist it in the defense of
a civil action pending in the Supreme Court of the United States at Docket Nos. 25-962 and 25-
967, captioned: Republican National Committee, et al. v. Bette Eakin, et al. and Pennsylvania
v. Bette Eakin, et al.
ATTORNEY FEES:
In consideration for services so rendered by Attorney, it is hereby agreed by and between
the parties hereto that Attorney shall be compensated as follows:
(a) Payment for Attorney’s representation shall be calculated on an hourly basis
(b) Partner’s time shall be charged at the rate of $250.00 (Two Hundred Fifty Dollars)
per hour.
(c) Associate’s time shall be charged at the rate of $200.00 (Two Hundred Dollars)
per hour.
(d) Paralegal’s time shall be charged at the rate of $105.00 (One Hundred Five Dollars)
per hour.
(e) Billing shall be recorded to the 0.1 (one-tenth) of an hour.
OUT-OF-POCKET EXPENSES:
Clients will be billed for any disbursements and reasonable and necessary out-of-pocket
expenses made or incurred on Clients’ behalf. These expenses typically include such items as
document reproduction, travel expenses, mailing charges, unavoidable secretarial overtime,
messenger services, filing fees, the cost of depositions or other transcripts of testimony and other
expenses associated with potential litigation or litigation. For any vendor expenses greater than
$50, Attorney will forward the vendor invoice to Clients and Clients will be responsible for paying
the vendor directly.
BILLING STATEMENTS:
Attorney’s billing statements will be accompanied by detailed reports, including
descriptions of the services performed, the time incurred, and the identity of the personnel
performing the services. Attorney’s billing statements will be rendered monthly and are payable
within thirty days. If any statement is not paid in accordance with its terms, it is understood that
Attorney shall have the right to discontinue his representation.
DISCHARGE OR WITHDRAWAL:
Clients and Attorney both reserve the right to terminate this relationship. Clients may
terminate the relationship at any time by notifying Attorney. In the event that Attorney determines
that the Clients refuse or fail to cooperate with Attorney, or Clients conceal or misrepresent facts
related to the legal consultation, or Clients commit a breach of this Agreement, Attorney shall
have the right to terminate his services upon giving reasonable notice to Clients to find alternative
legal representation. Attorney’s withdrawal from the representation, should such withdrawal
occur, will be conducted in accordance with Pennsylvania’s Rules of Professional Conduct.
IN WITNESS THEREOF, the parties hereto intend to be legally bound and have
hereunto set their hands and seals to this Agreement, in execution thereof, the day and year first
above written.
