HomeMy WebLinkAbout2016-08-02 Commissioner Minutes TUESDAY, AUGUST 2, 2016 The Franklin County Commissioners met Tuesday, August 2, 2016, with the following members present: Robert L. Thomas and Robert G. Ziobrowski. Vice Chairman Thomas presided and after calling the meeting to order, a Moment of Silence, and the Pledge of Allegiance, proceeded with the business of the day. Vice Chairman Thomas announced that Commissioner Keller will not be present for meetings this week. On a motion by Robert G. Ziobrowski; seconded by Robert L. Thomas; unanimously approved to adopt the agenda. There was no public comment. The minutes of the July 26, 2016 and July 28, 2016 meetings were reviewed. These will be approved Thursday, August 4, 2016. The Board reviewed Agreements, Contracts and Reports. Vice Chairman Thomas asked that the Commissioners approve board action item #3, agreement with Department of Environmental Protection to provide grant money to reduce the risk of the Zika virus. The remaining items will be approved Thursday, August 4, 2016. The Board will review Fiscal matters. On a motion by Robert G. Ziobrowski; seconded by Robert L. Thomas; unanimously approved the Zika Virus Control Grant Agreement between the County of Franklin and PA Department of Environmental Protection to provide grant funds in the amount of$14,428.36 to provide outreach to the community, educating the public about the mosquito life cycle and habitat, as well as treating artificial water sources, using insect repellents and addressing common mosquito breeding groups in hopes to reduce the risk of the ZIKA virus. The agreement is for the period of July 1, 2016 through June 30, 2017. The Board reviewed information regarding National Health Center Week. Joanne Cochran, President of Keystone, was present to receive the proclamation. Commissioner Ziobrowski commended Keystone Health on the extraordinary job they have done. He had spent many years on the hospital board so he knows the importance of Keystone and the job that they do. Commissioner Thomas said he remembers when Keystone first started out in a small building with a small population. He said it's amazing how they have grown and how they have formed many partnerships in Franklin County. They provide a tremendous service to the community. Ms. Cochran spoke and said that God has really blessed Keystone. Carrie Gray, Assistant County Administrator, said that both Commissioners hit the nail on the head that Joanne and her staff have not forgotten where they came from. If she needs anything done, Joanne and her staff get the job done and work well with Franklin County. She said the County really appreciates all the work they do from providing navigators at the Jail, which we are the only county in PA doing that, and helping with veterans and mental health services. She said Keystone is always there and it is appreciated. On a motion by Robert G. Ziobrowski; seconded by Robert L. Thomas; unanimously approved to sign Franklin County Proclamation #2016-13 proclaiming the week of August 7-13, 2016 as National Health Center Week. Ms. Cochran said that one thing she has learned and learned well is that all healthcare is local, and if we don't take care of each other, who will. She mentioned letting alcoholics getting in the depths of despair as well as drugs. She said we have to start thinking about taking care of behaviors of people and drugs and alcohol are huge problems. This is much harder than giving someone a pill to make them feel better. She believes we are here to take care of each other. She said she is worried about meeting the needs of the community, so we all should work together. Continued on page 2 Mary Beth Shank, County Solicitor, requested the Board consider a resolution to approve tax-exempt financing for acquisition of 12.6 acres of unimproved property and construction of a 100,000 square feet facility located in the United Business Park in the Township of Southampton, Franklin County. Dave Sciamanna, representing Franklin County Industrial Development Authority who has been asked by the Chambersburg Area Development Corporation to issue a tax exempt bond for construction of a facility in the Southampton Township United Business Park. Mr. Sciamanna explained the company TST/Impresso, Inc. who manufactures paper products will occupy the building after it is constructed. Ms. Shank explained the Franklin County Industrial Authority agreed to issue tax exempt financing for 6.7 million. There was a hearing on July 28, 2016 for the issuance of this obligation. She reminded the Board that this does not obligate the county financially; rather, it is a public approval requirement of the Internal Revenue Code. On a motion by Robert G. Ziobrowski; seconded by Robert L. Thomas; unanimously approved Resolution #2016-09 and that the attached resolution be made a part of these minutes. The meeting was adjourned at 10:07 a.m. with a motion by Robert G. Ziobrowski; seconded by Robert L. Thomas. FRANKLIN COUNTY COMMISSIONERS COUNTY OF FRANKLIN, Commonwealth of Pennsylvania RESOLUTION 2016-09 WHEREAS, Chambersburg Area Economic Development Corporation (the "Borrower") is a corporation not-for-profit organized and existing under the laws of the Commonwealth of Pennsylvania(the "Commonwealth"); and WHEREAS, The Franklin County Industrial Development Authority (the "Authority"), an industrial and commercial development authority established pursuant to the provisions of the Economic Development Financing Law, the Act of December 17, 1993, P.L. 490, No. 74, as amended (the "Act") of the Commonwealth, proposes to act as a conduit issuer and to issue a tax-exempt obligation in the maximum principal amount not to exceed $6,700,000 (the "Obligation") to provide financing the Borrower for (a) financing the acquisition of 12.6 acres of unimproved real property located at Lot 7, United Business Park, in the Township of Southampton, Franklin County, Pennsylvania, and the construction thereon and equipping of an approximately 100,000 square feet facility for the manufacturing of paper products and functionally related and subordinate facilities (the "Facilities"); (b) the funding of interest during construction and establishment of necessary reserve and other appropriate funds (to the extent funds are available); and (c) the payment of the costs and expenses of financing and related costs and expenses, all of which undertakings herein are referred to as the "Project"; and W2.5037 u WHEREAS, Section 147(f) of the Internal Revenue Code of 1986, as amended (the "Code"), provides that tax-exempt obligations may not be issued for the benefit of persons other than state and local governments unless the issue is approved by the political subdivision within which the properties being financed or refinanced extend and the "applicable elected representative" of the governmental unit which will issue the tax- exempt obligations or, if such governmental unit has no elected officials, then by an "applicable elected representative" of the next higher governmental unit (with an "applicable elected representative"), following a public hearing of which reasonable public notice is given; and WHEREAS, The Facilities being financed are contained within the geographic boundaries of this County; and WHEREAS, The Authority has no elected representative, and this County, as the incorporating municipality of the Authority, is the next higher governmental unit with an elected representative, within the meaning of the Code; and WHEREAS, Notice of a public hearing with respect to the Project and the proposed issuance of the Obligation by the Authority as a tax-exempt obligation was published in the Public Oprnio1q, of Chambersburg, Pennsylvania, a newspaper of general circulation in the area to be served by the Project; and WHEREAS, The Authority has asked this County to approve the use of tax- exempt financing for the Project; and WHEREAS, The Authority, by its representative, has submitted to this County a brief report, summary, or synopsis of the public hearing; and WHEREAS, Upon review of the summary of said public hearing and other pertinent information regarding the Project and its financing, the Board of County Commissioners of this County desires to approve the use of tax-exempt financing for the Project. NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF THIS COUNTY AS FOLLOWS: SECTION 1. The advertisement and conduct of a public hearing on behalf of this County regarding the Project and the issuance of the Obligation as a tax-exempt obligation, as required by Section 147(f) of the Code, is hereby authorized, approved and ratified. SECTION 2. The advertisement and holding of a public hearing as required by the Code with respect to the Obligation and the Project in the name of and on behalf of this County by the Authority, its Solicitor or his delegate is hereby ratified, confirmed and approved. SECTION 3. The Board of County Commissioners of this County designates and authorizes its Chairman or Vice Chairman to execute and deliver on behalf of the Board of County Commissioners of this County a Certificate of Approval with respect to the Obligation, such Certificate of Approval to be substantially in the form attached hereto as Exhibit A. SECTION 4. The approval granted hereby shall not, in any way, pledge or obligate the credit or taxing power of this County, nor shall this County be liable for the payment of the principal of, or interest on, any obligations issued by the Authority for the Project, including the Obligation, as contemplated herein. SECTION 5. Nothing in this Resolution is intended to be, nor shall it be construed as, an approval of the Obligation or of the Project by this County for any purposes other than the public approval requirement of Section 147(f)of the Code. SECTION 6. All prior actions of this County and of the Authority taken in conformity with the intent and purposes of this Resolution are ratified, confirmed and approved. SECTION 7. All prior resolutions or parts of resolutions, insofar as such shall be inconsistent herewith, shall be and the same expressly are repealed.
