(The “Agreement”) Dates of Service:ASAP, unless otherwise specified in advance. List or Description of Equipment being Picked Up: x-ray unit Data Destruction:Unless otherwise specified by the client, Desktop Disposal is not providing any form of data destruction services and offers no guarantees as to the destruction of any data, if any is present. Desktop Disposal assumes that the client has sanitized all data/devices and ensured that there are no sensitive records being picked up in the completion of this service. Client must notify Desktop Disposal in writing if sensitive data may be present and or if data destruction services must be quoted alongside proper removal and disposal of X-Ray devices. Certificates and Inventory Audit Lists Certificate of Responsible Recycling and Data Destruction: Desktop Disposal will provide the client with a certificate of recycling and data destruction for each lot picked up. The turn around time is 21 days from pickup unless otherwise discussed in writing. Inventory List:Desktop Disposal will provide a basic audit to include only the weight of the entire pickup unless Extra Services are selected. The client must tape the terminals on all batteries where the terminal protrudes past the plastic and is exposed. If there are batteries included in a pickup and they aren't properly taped, they cannot be picked up at all. Photos may be required to show that battery terminals are taped before pickup is scheduled. Restricted Materials: While Desktop Disposal does not directly dispose of restricted materials, we do have a network of qualified downstream vendors that can assist us in these tasks. - Polychlorinated biphenyls (PCBs) - Mercury - Medical waste, including bio-hazardous materials, unidentified chemicals, experimental or developmental drugs that do not have a Safety Data Sheet. Lab Equipment Special Clause: Please ask us to quote sanitization of equipment and/or disposal of chemicals before the equipment is picked up. While Desktop Disposal does not directly sanitize lab equipment or disposal of chemicals, we do have a network of qualified downstream vendors that can assist us in these tasks. In the event that the client ships Desktop Disposal any of the following types of materials, additional charges may apply OR Desktop Disposal reserves the right to ship the materials back to the customer or refuse to pick up the materials: - Medical waste, including biohazardous materials, unidentified chemicals, experimental or developmental drugs that do not have a Safety Data Sheet. - Unsanitized medical devices or laboratory equipment - Any liquids These materials will not be picked up unless otherwise specified by Desktop Disposal on this proposal. If any of these materials end up getting picked up and are received, Desktop Disposal will notify the client as soon as possible. Once notified, the client will have the option of either letting us attempt to quote out the necessary disposal or sanitization methods or shipping the material back to them. Any costs for material shipped back to the client OR any sanitization and disposal costs will be the clients’ responsibility, and the client must pay such additional costs within fourteen (14) days of invoicing from Desktop Disposal. Call us if you have ANY questions about the proposed options. NOTE ABOUT X-RAY MACHINES: WE REQUIRE A PHOTO OF THE DATA TAG FROM EACH X-RAY THAT WE PROCESS. THIS PHOTO IS REQUIRED BEFORE ANY SERVICE OPTION WILL BE HONORED. Option A YES [ ] Desktop Disposal will utilize its staff to handle all of the logistics of getting the lab/X-Ray equipment to its facility from the client’s location at 272 North 2nd Street Chambersburg, PA 17201. Desktop Disposal will palletize the equipment on site and transport those to its facility. Desktop Disposal will provide the labor to move all equipment from where it is staged for pickup by the client. All equipment must be uninstalled and able to fit through doorways without needing to be dismantled further. As part of this dismantling requirement, Desktop Disposal requires that once the equipment is dismantled, the client must move it outside of the room and stage it near an exit door accessible to our trucks. By failing to adhere to this requirement, the client acknowledges and accepts the risk of incurring an additional $750.00 charge per subsequent required visit, as outlined in the Missed Pickups entry of the Additional Charges section of this Proposal. Desktop Disposal will charge the client $3,000.00 for this pick up, all inclusive. + Additional Charges: Shipping unauthorized materials or substances: See the Lab Equipment Special Clause portion on page 2. Any charges resulting from this clause will have proof of our costs provided to the client, plus a 20% convenience fee. “Missed pickup” or charges stemming from the client not having the equipment properly staged. Each of our service options comes with a requirement to prepare the material in a certain way. If our crew arrives on site and no one is available to allow them entry to the facility, or if the material is not ready to be removed (because it was supposed to be palletized but is not, or because it was supposed to be dismantled to fit through doorways but was not), there will be a missed pickup or improperly packaged material charge of $750.00. If “Yes” is not checked, we will assume that these services are not needed and will, in some cases, be unable to provide them after a pickup has already occurred or been processed. Unless otherwise specified in this proposal, fees outlined in the "Extra Services" section will be in addition to the “Service Option” chosen above. Turn around time frame is 45 days from pickup, unless discussed otherwise in writing. The additional charge is $25.00 per unit. Return of Physical Asset Tags YES [ ] Return of physical asset tags. The additional charge is $6.00 per unit with a $500.00 minimum charge. Pickup Outside of Standard Business Hours YES [ ] Additional charge of $1,500.00 per pickup if the pickup must be done before 8:00am or after 5:00pm, and it is not a holiday. Standard pickup window is between 8am and 5pm. There may be an additional charge for if a shorter pickup window is needed. Please call Desktop Disposal to discuss fees and/or prices for future pickups. Payment Details and Miscellaneous Provisions Down Payment No down payment required. Invoice for the Balance, Credit Card Charges, and Interest Desktop Disposal will provide the customer with an invoice ASAP after completing the work. The client will have Net14 from the day that the invoice is sent to remit payment in full for the remainder of the invoiced balance. If the client has provided a credit card to pay for any of Desktop Disposal’s services, the client hereby authorizes Desktop Disposal to charge all unpaid invoices to the client’s credit card. Invoices that are not paid within fourteen (14) days shall accrue interest at the rate of one and one-half percent (1 ½%) per month. Additionally, Desktop Disposal has the option, in its sole discretion, to cease work for the client if the client’s invoices are not paid within fourteen (14) days. Force Majeure Desktop Disposal shall not be liable to the client or be deemed to be in breach of this Agreement by reason of any delay in performing, or any failure to perform, any of its obligations hereunder, if the delay or failure was due to any unforeseen event beyond the reasonable control of Desktop Disposal, such as, but not limited to, any act of God, act of government or any authorities, non-issuance of licenses, hostilities between nations, war, riot, civil commotions, civil war, insurrection, blockages, import or export regulations or embargoes, rainstorms, national emergency, earthquake, fires, explosions, flooding, hurricane or other exceptional weather conditions or natural disasters, acts of terrorism, accidents, sabotages, strikes, shortages in material or supply, infectious diseases, epidemics, as well as travel restrictions or travel warnings due to any such events. Severability If any provision of this Agreement is held invalid or unenforceable by any court of competent jurisdiction, the other provisions of this Agreement will remain in full force and effect. Any provision of this Agreement held invalid or unenforceable only in part or degree will remain in full force and effect to the extent not held invalid or unenforceable and shall be enforced to the greatest extend allowed by law. Governing Law; Dispute Resolution; Attorneys’ Fees. Waiver of Jury Trial. This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, regardless of any State’s “choice of laws” statutes. Any proceeding, litigation, cause of action or other claim arising out of or relating to this Agreement or any of the transactions contemplated hereby shall be brought exclusively in the state or federal courts in Cobb County Georgia. Each of the parties to this Agreement hereby irrevocably submit to the exclusive jurisdiction and agree to venue of each such court in any such proceeding, litigation or cause of action, waives any objection it may now or hereafter have to venue or to convenience of forum, agrees that all claims in respect to such proceeding, litigation or cause of action shall be heard and determined only in any such court and agrees not to bring any proceeding, litigation, cause of action or other claim arising out of or relating to this Agreement in any other court. The parties agree that either or both of them may file a copy of this paragraph with any court as written evidence of the knowing, voluntary and bargained agreement between the parties irrevocably to waive any objections to venue or to convenience of forum. Process in any proceeding, litigation, cause of action or claim may be served on any party anywhere in the world. In the event of any litigation or proceeding arising out of or related to this Agreement or the transactions contemplated hereby, if Desktop Disposal is the prevailing party thereunder, Desktop Disposal shall be entitled to its reasonable attorneys’ fees and costs of enforcement/litigation, in addition to any other relief to which Desktop Disposal would otherwise be entitled at law or equity. Both parties to this Agreement hereby waive the right to a jury trial and agree that all disputes will be tried by a judge as a bench trial. Interpretation This Agreement was negotiated by and between both of the parties with the ability of either party to have Desktop Disposal X-Ray and Lab Equipment Recycling Proposal - 1980 and later Internal Reference Number: 227891 770-977-2925 Client Initials: _________ Page 7/8 legal representation, and any rule of construction or interpretation requiring this Agreement to be construed or interpreted against the drafter of this Agreement shall not apply to any construction or interpretation hereof. Entire Agreement; No Modification Unless in Writing This Agreement (which, for purposes of such definition includes all Exhibits and Attachments hereto that identify products or services required for this Agreement,) constitute the entire and exclusive agreement and understanding between the parties. This Agreement supersedes and cancels all prior agreements between the parties, whether written or oral, relating to the subject matter hereof. This Agreement may not be amended, supplemented or waived, except in writing, signed by both parties to this Agreement. Non-Waiver; Cumulative Rights The waiver by Desktop Disposal of a breach of this Agreement, or the waiver of any right under this Agreement, shall not operate to, or be construed as a waiver of, any other breach of that provision, nor as a waiver of any other provision. The rights and remedies of Desktop Disposal hereunder are cumulative and not alternative. Neither any failure nor any delay by Desktop Disposal in exercising any right, power or privilege under this Agreement or any of the documents referenced herein will operate as a waiver of such right, power or privilege, and no single or partial exercise of any such right, power or privilege will preclude any other or further exercise of such right, power or privilege or the exercise of any other right, power or privilege. To the maximum extent permitted by applicable law, (a) no claim or right arising out of this Agreement or any of the documents referred to herein can be discharged by one party, in whole or in part, by a waiver or renunciation of the claim or right unless in writing signed by both parties; (b) no waiver that may be given by a party will be applicable except in the specific instance for which it is given; and (c) no notice to or demand on one party will be deemed to be a waiver of any obligation of that party or of the right of the party giving such notice or demand to take further action without notice or demand as provided in this Agreement or the documents referred to herein. Electronic/ Digital Signatures Any signature (including any electronic symbol or process attached to, or associated with, this Agreement or other record and adopted by a party with the intent to sign, authenticate or accept such) hereto or to any other certificate, agreement or document related to this transaction, and any contract formation or record-keeping through electronic means shall have the same legal validity and enforceability as a manually executed signature or use of a paper-based recordkeeping system to the fullest extent permitted by applicable law, including the Federal Electronic Signatures in Global and National Commerce Act, or any similar state law based on the Uniform Electronic Transactions Act, and the parties hereby waive any objection to the contrary. Likewise, digital copies of this Agreement shall have the same legal validity and enforceability as an original, paper-based, “hard copy” of this Agreement, and the parties hereby waive any objection to the contrary. Survival of Rights All rights and obligations of the parties, arising during the term of this Agreement, shall continue to have full force and effect after the date that this Agreement terminates or expires, and the provisions of this Agreement which by their purpose and intent contemplate possible performance subsequent to termination of this Agreement, shall so survive such termination, whether or not such provisions expressly state that they shall so survive.
