MHMRENTITY] fortheregulationandmanagementofitsaffairs. PurposesandPowers Generally. ThisCorporationwillhavethepurposesorpowersasstatedinits1.2. 1.2. ArticlesofIncorporation, andwhateverpowersareormaybegrantedbytheNonprofit CorporationLawof1988oftheCommonwealthofPennsylvania, oranysuccessorlegislation. PrimaryPurpose. TheprimarypurposeofthisCorporationistheprovidingof 1.3. 1.3. mentalhealthandintellectualdisabilityhealthandwelfareservicesforresidentsinFranklin CountyandFultonCounty, Pennsylvania, includingbutnotlimitedtoservicesrelatingtothe planning, administering, monitoringandcoordinatingcommunitymentalhealthandmental retardationintellectualdisabilitiesandearlyinterventionservicesaswellasotherhuman services. 501(c)(3) CharitablePurposes. Thecorporationisorganizedforcharitable1.4. 1.4. purposesasspecifiedinSection501(c)(3) oftheInternalRevenueCode (the “Code”), including forsuchpurposes, themakingofdistributionstoorganizationsunder501(c)(3) oftheCode, as amendedorthecorrespondingsectionofanyfuturefederaltaxlaw. PublicBenefit. Nopartofthenetearningsofthecorporationshallinuretothe1.5. 1.5. benefitof, orbedistributableto, itstrustees, officersorotherprivatepersons, exceptthatthis corporationshallbeauthorizedandempoweredtopayreasonablecompensationforservices renderedandtomakepaymentsanddistributionsinfurtheranceofthepurposesofthe corporationsetforthinitArticlesandtheseBylaws. CorporationQualifyingunder §501(c)(3). Notwithstandinganyotherprovisionof1.6. 1.6. theseBylaws, thiscorporationshallnotcarryonanyactivitiesnotpermittedtobecarriedon (a) byacorporationwhichisexemptfromfederalincometaxundertheprovisionsofSection501(a) oftheCodeasanorganizationdescribedinSection501(c)(3) oftheCode, orthecorresponding sectionsofanyfuturefederaltaxlaw, or (b) byacorporation, contributionstowhichare deductibleunderSection170(a) oftheCodeandwhichisdescribedinSection170(c)(2) ofthe Code, orthecorrespondingsectionsofanyfuturetaxlaw. 1L0471612.1} ARTICLE2OFFICESANDAGENCY PrincipalandBranchOffices TheprincipalplaceofbusinessofthisCorporationinPennsylvaniawillbe2.1. 2.1. locatedatHumanServicesBuilding, 425FranklinFarmLane, Chambersburg, PA17202. In addition, theCorporationmaymaintainotherofficeseitherwithinorwithouttheCommonwealth ofPennsylvaniaasitsbusinessrequires. RegisteredOffice ThelocationoftheregisteredofficeofthisCorporationisstatedintheArticlesof2.2. 2.2. Incorporation. ThisofficewillbecontinuouslymaintainedintheCommonwealthof PennsylvaniaforthedurationofthisCorporation. TheBoardofDirectorsmayfromtimetotime changetheaddressofitsregisteredofficebydulyadoptedresolutionandamenditsArticlesor filetheappropriatestatementwiththeDepartmentofState. ARTICLE3MEMBERSHIP NoMembers TheCorporationshallhavenomembers. 3.1. 3.1. ARTICLE4DIRECTORS DefinitionofBoardofDirectors TheBoardofDirectorsisthatgroupofpersonsvestedwiththemanagementof4.1. 4.1. thebusinessandaffairsofthisCorporation. StructureofBoard TheBoardofDirectorsofthisCorporationwillbedividedintotwo (2) classes, 4.2. 4.2. whicharedesignatedasfollows: 1) TheFranklinCountyDirectors, ofwhichthereshallbe , appointedby theFranklinCountyCommissioners, bymajorityvoteofsuchCountyCommissioners; and 2) TheFultonCountyDirectors, ofwhichthereshallbe , appointedby theFultonCountyCommissioners, bymajorityvoteofsuchCountyCommissioners. GeneralQualificationsofDirectors ThequalificationsforbecomingandremainingaDirectorofthisCorporationare 4.3. 4.3. asfollows: 2L0471612.1} 1) DirectorsmustberesidentsoftheCommonwealthofPennsylvania. 2) Directorsmustbenaturalpersons, twenty-oneyearsofageorolder. AdditionalQualificationsofDirectorsbyClassificationofDirectors InadditiontotheGeneralQualificationsforallDirectorsinSection4.3above, the4.4. 4.4. followingqualificationsshallapplytothecompositionofDirectorsofeachclassification: 1) WithrespecttotheFranklinCountyDirectors: a) Atleastone (1) suchDirectorshallbea [mentalhealthprofessional licensedintheCommonwealthofPennsylvaniaorahumanservicesprofessional inthepublicorprivatesectorwholivesinFranklinCounty]. b) Atleastone (1) suchDirectorshallbeaCountyCommissionerofthe CountyofFranklin , Pennsylvania. c) [etc. ] 2) WithrespecttotheFultonCountyDirectors: a) Atleastone (1) suchDirectorshallbea [mentalhealthprofessional licensedintheCommonwealthofPennsylvaniaorahumanservicesprofessional inthepublicorprivatesectorwholivesinFranklinCounty]. b) Atleastone (1) suchDirectorshallbeaCountyCommissionerofthe CountyofFulton, Pennsylvania. c) [etc. ] VotingPowerofDirectors EachDirector, regardlessofwhetheraFranklinCountyDirectororaFulton 4.5. 4.5. CountyDirector, shallhaveone (1) voteonallmatters. NumberofDirectors ThenumberofDirectorsofthisCorporationwillnotbelessthannine (9) atany4.6. 4.6. time. TermsofDirectors TheDirectorsconstitutingthefirstBoardofDirectorswillholdofficeuntilthe4.7. 4.7. firstannualappointmentofDirectors. Thereafter, Directorswillbeappointedforatermofone yearendingDecember31. EachDirectorwillserveatthepleasureoftheCounty Commissionerswhoweretheoriginalappointingauthorityandmayberemovedeitherduring 3L0471612.1} histermorwhenasuccessorhasbeenselectedandqualifiedbytheCountyCommissionerswho weretheoriginalappointingauthority. VacanciesontheBoard Anymid-termvacancyoccurringontheBoardofDirectors, andanydirectorship4.8. 4.8. tobefilledbyreasonofanincreaseinthenumberofDirectors, willbefilledbyappointmentby theCountyCommissionerswhoweretheoriginalappointingauthoritytothevacantseat. The newDirectorelectedtofillthevacancywillservefortheunexpiredtermofthepredecessorin office. LocationofDirectors’ Meetings MeetingsoftheBoardofDirectors, regularorspecial, willbeheldatthe4.9. 4.9. registeredofficeofthisCorporation, orsuchplaceorplacesastheBoardofDirectorsdesignates byresolutiondulyadopted. RegularDirectors’ Meetings RegularmeetingsoftheBoardofDirectorswillbeheldatthefirstThursday of 4.10. 4.10. eachmonth. Ifthedatesetforthemeetingfallsonalegalbusinessholiday, thenthemeetingwill beheldinsteadontheThursdayimmediatelyfollowing. ThisprovisionoftheBylawsconstitutes noticetoallDirectorsofallregularmeetings, andnofurthernoticeshallberequired, although furthernoticemaybegiven. NoticeofSpecialDirectors’ Meetings Writtenorprintednoticestatingtheplace, day, andhoursofanyspecialmeeting4.11. 4.11. oftheBoardofDirectorswillbedeliveredtoeachDirectornotlessthantwoormorethanfive daysbeforethedateofthemeeting, eitherpersonallyorbyfirstclassmail, orbyexpress delivery, byoratthedirectionofthePresident, ortheSecretary, ortheDirectorscallingthe meeting. Ifmailed, thenoticewillbedeemedtobedeliveredwhendepositedintheUnitedStates mailbyregisteredorcertifiedmailaddressedtotheDirectorattheDirector’saddressasit appearsontherecordsofthisCorporation, withpostageprepaid. Thenoticeneednotstatethe businesstobetransactedat, northepurposeof, themeeting. CallofSpecialBoardMeetings AspecialmeetingoftheBoardofDirectorsmaybecalledbyeither: 4.12. 4.12. 1) ThePresident. 2) AnumberconstitutingaquorumoftheBoardofDirectors. WaiverofNotice AttendanceofaDirectoratanymeetingoftheBoardofDirectorswillconstitutea 4.13. 4.13. waiverofnoticeofthatmeetingexceptwhentheDirectorattendsameetingfortheexpress purposeofobjecting, atthebeginningofthemeeting, tothetransactionofanybusinessbecause themeetingisnotlawfullycalledorconvened. 4L0471612.1} QuorumofDirectors AmajorityofthewholeBoardofDirectorswillconstituteaquorum; provided, 4.14. 4.14. thatinnoeventwillaquorumconsistoflessthanone-thirdofthewholeBoard. Theactofa majorityoftheDirectorspresentatameetingatwhichaquorumispresentwillbetheactofthe BoardofDirectorsunlessagreaternumberisrequiredundertheprovisionsoftheNonprofit CorporationLawof1988, theArticlesofIncorporationofthisCorporation, oranyprovisionof theseBylaws. ARTICLE5OFFICERS RosterofOfficers TheOfficersofthisCorporationwillconsistofthefollowingpersonnel: 5.1. 5.1. 1) APresident. 2) VicePresident. 3) ASecretary. 4) ATreasurer. SelectionofOfficers EachoftheOfficersofthisCorporationwillbeelectedandappointedannuallyby5.2. 5.2. theBoardofDirectors. EachOfficerwillremaininofficeuntilasuccessortotheofficehasbeen selectedandqualified. ElectionswillbeheldattheregularmeetingoftheBoardofDirectors takingplaceinJanuaryofeachyear. MultipleOfficeholders InanyelectionofOfficers, theBoardofDirectorsmayelectandappointasingle5.3. 5.3. persontomorethanoneofficesimultaneously, exceptthattheofficesofPresidentandSecretary mustbeheldbyseparateindividuals. President ThePresidentistheChiefExecutiveOfficerofthisCorporationandwill, subject5.4. 5.4. tothecontroloftheBoardofDirectorsoranyCommittees, superviseandcontroltheaffairsof theCorporation. ThePresidentwillperformalldutiesincidenttotheofficeandanyotherduties thatmayberequiredbytheseBylawsorprescribedbytheBoardofDirectors. VicePresident TheVicePresidentwillperformalldutiesandexerciseallpowersofthePresident5.5. 5.5. whenthePresidentisabsentorisotherwiseunabletoact. TheVicePresidentwillperformany otherdutiesthatmaybeprescribedbytheBoardofDirectors. 5L0471612.1} Secretary TheSecretarywillkeepminutesofallmeetingsofMembersandoftheBoardof5.6. 5.6. Directors, bethecustodianofthecorporaterecords, giveallnoticesasarerequiredbylaworby theseBylaws, andgenerally, performalldutiesincidenttotheofficeofSecretaryandanyother dutiesasmayberequiredbylaw, bytheArticlesofIncorporation, orbytheseBylaws, orthat maybeassignedbytheBoardofDirectors. Treasurer TheTreasurerwillhavechargeandcustodyofallfundsofthisCorporation, and 5.7. 5.7. willdepositthefundsasrequiredbytheBoardofDirectors, keepandmaintainadequateand correctaccountsoftheCorporation’spropertiesandbusinesstransactions, renderreportsand accountingstotheDirectorsandtotheMembersasrequiredbytheBoardofDirectorsorby Membersorbylaw. TheTreasurerwillperformingeneralalldutiesincidenttotheofficeof Treasurerandanyotherdutiesasmayberequiredbylaw, bytheArticlesofIncorporation, orby theseBylaws, orthatmaybeassignedbytheBoardofDirectors. RemovalofOfficers AnyOfficerelectedorappointedtoofficemayberemovedbythepersons5.8. 5.8. authorizedundertheseBylawstoelectorappointOfficerswheneverintheirjudgmentthebest interestsofthisCorporationwillbeserved. ARTICLE6INFORMALACTION WaiverofNotice WheneveranynoticeisrequiredtobegivenundertheprovisionsoftheNonprofit 6.1. 6.1. CorporationLawof1988, theArticlesofIncorporationofthisCorporation, ortheseBylaws, a waiverofthenoticeinwritingsignedbythepersonorpersonsentitledtonotice, whetherbefore orafterthetimestatedinthewaiver, willbedeemedequivalenttothegivingofthenotice. The waivermust, inthecaseofaspecialmeetingofMembers, specifythegeneralnatureofthe businesstobetransacted. ActionbyConsent AnyactionrequiredbylaworundertheArticlesofIncorporationofthis6.2. 6.2. CorporationortheseBylaws, oranyactionthatotherwisemaybetakenatameetingofeitherthe MembersorBoardofDirectors, maybetakenwithoutameetingifaconsentinwriting, setting forththeactiontaken, issignedbyallthepersonsentitledtovotewithregardtothesubject matteroftheconsent, orallDirectorsinoffice, andfiledwiththeSecretaryoftheCorporation. 6L0471612.1} ARTICLE7COMMITTEES DefinitionofExecutiveCommittees ThisCorporationmayhavecertainCommittees, eachofwhichwillconsistofone7.1. 7.1. ormoreDirectors. EachExecutiveCommitteewillhaveandwillexercisesomeprescribed authorityoftheBoardofDirectorsinthemanagementofthisCorporation. However, no CommitteewillhavetheauthorityoftheBoardinreferencetoaffectinganyofthefollowing: 1) FillingofvacanciesintheBoard. 2) Adoption, amendment, orrepealofBylaws. 3) AmendmentorrepealofanyresolutionoftheBoard. 4) ActiononmatterscommittedbyBylawsorresolutionoftheBoardtoanother CommitteeoftheBoard. AppointmentofCommittees TheBoardofDirectors, byresolutiondulyadoptedbyamajorityoftheDirectors7.2. 7.2. inoffice, maydesignateandappointoneormoreExecutiveCommitteesanddelegatetothese CommitteesthespecificandprescribedauthorityoftheBoardofDirectorstoexerciseinthe managementofthisCorporation. However, thecreationofExecutiveCommitteeswillnot operatetorelievetheBoardofDirectors, oranyindividualDirector, ofanyresponsibility imposedbylaw. RequiredCommittees ThefollowingCommitteeswillalwaysoperateaspartofthecorporate 7.3. 7.3. managementandwiththefollowingspecificandprescribedauthorityoftheBoardtoexercisein themanagementofthisCorporation. TheparticularDirectorstobeservingontheCommitteeare tobedesignatedandappointedbytheBoardofDirectorsinaresolutionthatmayotherwiseadd tothescopeoftheCommittee’sauthority, iflegallypermissible, butnotsubtractfromit: 1) ExecutiveCommittee, whichwillactfortheBoardofDirectorsintheday-to-day managementofthisCorporationintheabsenceofactionbytheBoard, wherelegally permissible. 2) [Specifyothercommittees.] ARTICLE8-- OPERATIONS FiscalYear Thefiscalyearofthiscorporationwillbethecalendaryear. 8.1. 8.1. Contracts, leases, orotherinstruments executedinthenameofandonbehalfoftheCorporationwillbesignedbytheSecretaryand countersignedbythePresident, andwillhaveattachedcopiesoftheresolutionsoftheBoardof DirectorscertifiedbytheSecretaryauthorizingtheirexecution. BooksandRecords ThisCorporationwillkeepcorrectandcompletebooksandrecordsofaccount, 8.3. 8.3. andwillalsokeepminutesoftheproceedingsofitsMembers, BoardofDirectors, andExecutive Committees. TheCorporationwillkeepatitsprincipalplaceofbusinessamembershipregister givingthenames, addresses, classes, andotherdetailsofthemembershipofeachmember, and theoriginaloracopyofitsBylawsincludingamendmentstodatecertifiedbytheSecretaryof theCorporation. InspectionofBooksandRecords AllbooksandrecordsofthisCorporationmaybeinspectedbyanyMember, or8.4. 8.4. theMember’sagentorattorney, foranyproperpurposeatanyreasonabletimeonwritten demandunderoathstatingthepurposeoftheinspection. NonprofitOperations ThisCorporationwillnothaveorissuesharesofstock. Nodividendwillbepaid, 8.5. 8.5. andnopartoftheincomeofthisCorporationwillbedistributedtoitsMembers, Directors, or Officers. However, theCorporationmaypaycompensationinareasonableamounttoMembers, Officers, orDirectorsforservicesrendered. LoanstoManagement ThisCorporationwillmakenoloanstoanyofitsDirectorsorOfficersortoany8.6. 8.6. ofitskeymanagementorotherpersonnel. ARTICLE9ADVISORYBOARD TotheextentthattheCorporationcontractswithorprovidesservicestoFranklin9.1. 9.1. CountyorFultonCountythatarecoveredbytheMentalHealthandRetardationActof1966, as amended, 50P.S. §4401etseq. (theAct), oranysuccessorthereto, theBoardofDirectorsorits designeeshallmeetandconsultatleastoncepercalendarquarterwiththedulyappointed MH/IDAdvisoryBoardoftheCountiesofFranklinandFultonjointlyestablishedbysuch CountiesinaccordancewithSection302oftheAct, orestablishedinaccordancewithany successorlegislation, whichofficialAdvisoryBoardoftheCountiesshallalsobeconsideredand treatedbytheCorporation’sBoardofDirectorsasanon-votingAdvisoryBoardtotheBoardof Directors. ThequarterlymeetingsreferredtointhisArticleshallbeheldbeforeorafter previouslyandregularlyscheduledAdvisoryBoardMeetingsoratanothertimemutuallyagreed uponbytheBoardofDirectorsandtheAdvisory. 8L0471612.1} ARTICLE10AMENDMENT ModificationofBylaws Exceptasotherwiseprovidedbyapplicablelaw, thesebylawsmaybeamendedat 10.1. 10.1. anyregularorspecialmeetingoftheMembersbythevoteofamajorityoftheDirectorspresent atameetingatwhichaquorumispresent; provided, however, thattheprovisionsofthese BylawsinArticle4relatingtotheBoardofDirectors, Article5regardingRemovalofDirectors andArticle9relatingtotheAdvisoryBoardshallnotbeamendedwithouttheunanimousvoteof theDirectors.
